1. Acceptance of Terms
By accessing or using Recover (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you and Firmhound LLC ("Firmhound", "we", "us"). If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated by email to your registered address.
2. Description of Service
Recover is a SaaS platform that connects to your Stripe account via OAuth, listens for failed payment webhook events, sends automated dunning email sequences to your customers, provides branded payment update pages, and displays recovery analytics in a dashboard.
The Service is provided "as is" and may be updated, modified, or discontinued at any time with reasonable notice to active subscribers.
3. Payment Terms
The Service is billed monthly or annually in advance. Pricing is displayed at fourthngoal.ai/pricing. Your subscription is managed through Stripe Billing; by subscribing, you authorize Firmhound to charge your payment method on a recurring basis.
Cancellations take effect at the end of the current billing period. Refunds are not issued for partial billing periods, except at Firmhound's discretion for documented service outages exceeding 48 consecutive hours.
Firmhound reserves the right to modify pricing with 30 days' advance notice to active subscribers.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service to send unsolicited commercial email (spam) to individuals who are not your existing customers
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use the Service to process payments for illegal goods or services
- Misrepresent the identity of your business or product in dunning emails
- Share your account credentials with unauthorized third parties
Violation of these terms may result in immediate termination of your account.
5. Stripe Partnership
Recover uses Stripe Connect to access your Stripe account. By connecting your Stripe account, you authorize Firmhound to receive webhook events from Stripe on your behalf. You must comply with Stripe's terms of service, which govern the underlying payment processing infrastructure.
Firmhound is not a payment processor and does not hold, transfer, or have write access to your Stripe funds or payment methods. Our Stripe OAuth scope is read-only for payment events.
6. Data Handling
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Key points: we process your customers' email addresses to send dunning emails on your behalf; we retain payment event data for up to 24 months; we do not sell your data or your customers' data.
You are responsible for ensuring that your use of the Service complies with applicable privacy laws, including providing appropriate notice to your customers that their payment failure data may be processed by a third-party recovery service.
7. Termination
You may cancel your subscription at any time from your Stripe billing portal. Firmhound may suspend or terminate your account for violation of these Terms, non-payment, or as required by law. Upon termination, your access to the Service is revoked and your data is retained for 90 days before deletion (per our Privacy Policy).
8. Limitation of Liability
To the maximum extent permitted by law, Firmhound's total liability for any claim arising out of or related to these Terms or the Service is capped at three (3) months of subscription fees paid by you in the 12 months preceding the claim. In no event will Firmhound be liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue or lost profits, even if Firmhound has been advised of the possibility of such damages.
This limitation reflects the allocation of risk between the parties and is a fundamental element of the basis of the agreement between you and Firmhound.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. FIRMHOUND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SPECIFIC RECOVERY RATES WILL BE ACHIEVED. PAYMENT RECOVERY RATES VARY BASED ON FACTORS OUTSIDE FIRMHOUND'S CONTROL.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved through binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
